Native Growth Group is an independent digital advertising agency providing services including, but not limited to, website development, landing page design, native advertising management, Google Ads management, Bing Ads management, Meta Ads management, conversion rate optimization, and brand strategy. The specific scope of services for any client engagement is governed by a separate written agreement, statement of work, or proposal between us and the client.
You acknowledge and agree that advertising performance is influenced by many factors outside our control, including but not limited to platform policies, competitive dynamics, creative effectiveness, audience signal, budget level, market conditions, and the offer being advertised. We do not guarantee any specific advertising outcome, including but not limited to: specific return on ad spend (ROAS), cost per acquisition (CPA), cost per click (CPC), lead volume, conversion rate, search ranking, or approval of any specific ad creative or campaign by any advertising platform.
All advertising campaigns are subject to the policies and approval processes of the relevant platforms (including Google, Meta, Microsoft, Taboola, and others). We follow these policies and use commercially reasonable efforts to maximize the likelihood of approval, but final approval rests with each platform.
Native Growth Group is an independent agency. We are not owned by, affiliated with, sponsored by, or endorsed by Google, Meta, Microsoft, Taboola, or any other advertising platform. References to these platforms on the Site are for descriptive purposes only.
If you become a client, you agree to: (a) provide accurate information necessary for us to deliver services; (b) own or have the right to use any creative assets, trademarks, or content you provide to us; (c) comply with applicable laws and the policies of any advertising platforms used; (d) maintain ownership and administrative access to your ad accounts; and (e) pay invoices in accordance with the agreed terms.
Except where otherwise expressly agreed in a written engagement, you retain ownership of your brand, content, and ad accounts. We retain ownership of our pre-existing methodologies, frameworks, templates, and internal tools. Deliverables prepared specifically for you will be assigned or licensed to you as set out in the applicable engagement agreement.
Content on the Site itself (text, graphics, code) is owned by us or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from Site content without our prior written consent.
You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorized access to the Site or its systems; (c) interfere with or disrupt the Site; (d) use automated means to access or scrape the Site beyond reasonable use; or (e) use the Site to transmit viruses, malware, or other harmful code.
By submitting any form on the Site, you confirm that the information you have provided is accurate and that you consent to be contacted by us regarding your inquiry. Form submission does not create a contractual relationship and does not obligate us to provide services.
The Site and our services rely on third-party platforms (including advertising platforms, hosting, analytics, and others). We are not responsible for the availability, terms, or performance of any third-party service.
THE SITE AND OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NATIVE GROWTH GROUP AND ITS OWNERS, OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Native Growth Group and its representatives from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your use of the Site, or any content you provide to us.
These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Cook County, Chicago, Illinois, and you consent to the personal jurisdiction of those courts.
We may revise these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of the Site after changes constitutes acceptance of the revised Terms.
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. These Terms (together with any applicable engagement agreement) constitute the entire agreement between you and us with respect to the Site and supersede any prior agreements.
